These terms govern the relationship between you (the "Client") and Byte Code Developers (referred to as "we," "us," or "our"), a Nepal-based IT company providing website development, digital marketing, graphics design, database management, cloud computing, SEO, and other IT-related services. Please read these terms carefully before using our services.

1. Acceptance of Terms

By accessing our website, contacting us, or signing a service agreement, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, along with our Privacy Policy. If you do not agree, please refrain from using our services.

2. Services Provided

Byte Code Developers offers a range of IT services, including but not limited to:

• Website development and maintenance
• Digital marketing (social media, PPC, content marketing, etc.)
• Graphics design (logos, banners, branding materials)
• Database management
• Cloud computing solutions
• Search Engine Optimization (SEO)
• Other IT-related services as agreed upon

All services will be provided as outlined in a mutually agreed-upon project proposal, contract, or service agreement. The scope, timeline, and deliverables will be specified in writing prior to the commencement of work.

3. Client Responsibilities

To ensure the successful delivery of our services, the Client agrees to:

• Provide accurate, complete, and timely information, materials, or content required for the project (e.g., text, images, logos).
• Respond promptly to requests for feedback, approvals, or clarifications.
• Ensure that all provided materials do not infringe on third-party rights, including copyrights, trademarks, or intellectual property.

Failure to meet these responsibilities may result in project delays, additional costs, or termination of services at our discretion.

4. Payment Terms

• Pricing: Service fees will be outlined in the project proposal or contract. All prices are quoted in Nepalese Rupees (NPR) unless otherwise specified.
• Payment Schedule: A deposit (typically 50% of the total fee) is required before work begins, with the remaining balance due upon project completion or as per agreed milestones.
• Late Payments: Payments not received within 7 days of the due date may incur a late fee of 5% of the outstanding amount or the maximum allowed by Nepalese law.
• Refunds: Payments are non-refundable once work has commenced, except in cases where we fail to deliver the agreed-upon services due to our negligence.

5. Project Timelines

Project timelines will be outlined in the service agreement. Delays caused by the Client (e.g., late submission of materials or feedback) may extend deadlines. Byte Code Developers is not liable for delays due to unforeseen circumstances, such as technical issues, natural disasters, or third-party service interruptions.

6. Intellectual Property

• Ownership: Upon full payment, the Client owns the final deliverables (e.g., website, graphics) created by Byte Code Developers, except for third-party tools, software, or assets licensed separately.
• Our Rights: We retain the right to use project samples in our portfolio, marketing materials, or promotional content unless otherwise agreed in writing.
• Client Materials: The Client warrants that all materials provided to us are legally owned or licensed for use and indemnifies us against any intellectual property disputes.

7. Revisions and Approvals

• A set number of revisions (as specified in the agreement) will be included in the project cost. Additional revisions may incur extra charges.
• Final approval of deliverables by the Client signifies acceptance of the work as complete, after which further changes will be treated as new projects.

8. Limitation of Liability

Byte Code Developers strives to deliver high-quality services but is not liable for:

• Indirect, incidental, or consequential damages (e.g., loss of profits, data, or business opportunities) arising from the use of our services.
• Issues caused by third-party platforms, tools, or services (e.g., hosting providers, social media platforms). Our total liability shall not exceed the amount paid by the Client for the specific service in question.

9. Termination

• By Client: The Client may terminate the agreement with written notice. Fees for work completed up to the termination date are non-refundable.
• By Us: We reserve the right to terminate services if the Client breaches these terms (e.g., non-payment, failure to cooperate) after providing written notice and a 7-day remedy period.

10. Confidentiality

We will treat all Client information as confidential and will not disclose it to third parties without prior consent, except as required by law or to fulfill the service agreement.

11. Warranties

• We warrant that our services will be performed with reasonable skill and care.
• No guarantees are made regarding specific outcomes (e.g., SEO rankings, website traffic) due to factors beyond our control, such as search engine algorithms or market conditions.

12. Governing Law

These Terms and Conditions are governed by the laws of Nepal. Any disputes arising from our services will be subject to the exclusive jurisdiction of the courts in Nepal.

13. Changes to Terms

Byte Code Developers reserves the right to update these Terms and Conditions at any time. Clients will be notified of significant changes via email or our website. Continued use of our services after updates constitutes acceptance of the revised terms.
